1. Acceptance of Terms
1.1 SAND (“SAND,” “we,” “us,” or “our”) provides its Service (as defined below) to you (“You,” “User,” or “Customer”) through its website www.sandstr.com and related services, subject to these Terms of Service (“TOS”). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.
1.2 By creating an account, clicking "I Agree", checking the acceptance box, or accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions and the Privacy Notice.
1.3 You must be at least 18 years old or the age of majority in your jurisdiction. You confirm that you are using the Service for business purposes only.
1.4 You must provide accurate account information and keep it updated. You are responsible for safeguarding your password and all activity on your account.
1.5 SAND may change these Terms at any time. The most recent version will always be available at www.sandstr.com/terms.html. Continued use of the Service after changes constitutes acceptance.
1.6 Time saved claims using the Service may vary from that promoted.
2. Description of Service
The “Service” includes:
(a) the Site, mobile apps,
(b) the on-demand SAND property management and reporting system, tools, and services,
(c) the SAND API, and
(d) all software, data, text, images, and content provided by SAND.
Any new features are also subject to these Terms.
3. General Conditions / Access and Use of the Service
3.1 You may access and use the Service only for your internal business purposes. You may not sublicense, resell, rent, lease, transfer, or use the Service for unlawful purposes.
3.2 All rights, title, and interest in and to the Service remain with SAND. You may not modify, adapt, hack, or falsely imply any sponsorship or association with SAND.
3.3 You are responsible for all activity under your account. Each login may only be used by one person.
3.4 The technical processing of the Service may involve transmissions over various networks and changes to conform to technical requirements.
3.5 The failure of SAND to enforce any right shall not be a waiver of that right.
3.6 SAND retains the right to determine rightful Account ownership in case of disputes.
3.7 Payment processing is provided by Stripe or other third parties and is offered on an “as-is” basis.
You agree not to:
3.8 Upload, store, or transmit unlawful, fraudulent, defamatory, or infringing content.
3.9 Harass, threaten, or discriminate against others.
3.10 Interfere with the Service’s security or functionality.
3.11 Upload information of third party properties without their consent or approval.
3.12 Act on behalf someone else.
3.13 Use the Service for illegal purposes, including tax evasion or falsifying reports.
3.14 Violations may result in immediate account suspension or termination without refund.
4. Data Accuracy & Limitations
4.1 User Responsibility: You are solely responsible for uploading accurate and correct data to the Service.
4.2 No Financial Advice: Reports and analytics provided by SAND are for informational purposes only and do not constitute tax, legal, accounting, or financial advice.
4.3 Possible Errors: You acknowledge that errors, omissions, or miscalculations may occur, and SAND shall not be liable for such inaccuracies.
4.4 Professional Review. Reports, calculations, analytics and financial information generated by SAND are intended solely as a technological support tool for administrative and operational purposes. They do not constitute accounting, tax, auditing, financial or legal advice.
Users are solely responsible for reviewing and validating all reports before using them for accounting records, tax filings, financial statements or compliance with any governmental authority.
SAND strongly recommends that all accounting and tax reports be reviewed by a qualified accountant or other licensed professional before being relied upon for statutory, tax or regulatory purposes.
4.5 Regulatory Compliance. SAND shall not be liable for taxes, penalties, fines, assessments, sanctions, audits or any other governmental action resulting from the use of the Service or from inaccurate, incomplete or untimely information supplied by the User.
5. Cost, Payment, and Refunds
5.1 Basic features may be offered free; paid plans are billed monthly and are non-refundable for partial months or unused time.
5.2 Prices and features may change at any time without notice.
5.3 Payment processing is provided by Stripe or other third parties, and SAND is not responsible for errors, data leaks or fraud caused by such providers.
6. Cancellation and Termination
6.1 You may cancel at any time. Data may be retained for at least one year unless deletion is specifically requested.
6.2 SAND may suspend or terminate accounts for violation of these Terms or unlawful activity.
6.3 Publicly or privately making false statements about SAND or its staff may be grounds for termination.
6.4 Abuse of SAND staff or customers will result in immediate termination.
7. API & Third-Party Service Disclaimer
7.1 SAND integrates (or will integrate)with third-party platforms such as Airbnb, Booking.com, Stripe, etc. You acknowledge that:
7.2 SAND is not responsible for the accuracy, availability, or reliability of third-party data.
7.3 Service interruptions due to external APIs are not grounds for refunds.
8. Indemnification
You agree to defend, indemnify, and hold harmless SAND, its affiliates, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:
8.1 Your breach of these Terms.
8.2 Your misuse of the Service.
8.3 Your violation of any law or third-party rights.
9. Confidentiality
Both parties agree to use the other’s Confidential Information only for purposes of this agreement and to protect it from unauthorized disclosure.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available,” without warranties of any kind. SAND does not guarantee uninterrupted, error-free, or virus-free operation.
11. Limitation of Liability
To the maximum extent permitted by law:
11.1 SAND shall not be liable for indirect, incidental, or consequential damages.
11.2 SAND shall not be liable for any decision made by Users based on reports or analytics generated by the Service.
11.3 Without limiting the foregoing, SAND shall not be liable for:
(a) accounting, tax, legal, financial or regulatory decisions made by Users;
(b) penalties, fines, taxes, audits or other governmental actions;
(c) inaccurate, incomplete, outdated, delayed or improperly synchronized information provided by Users or third parties;
(d) failures, interruptions, changes or limitations affecting third-party services, including but not limited to property management systems (PMS), booking channels, payment providers, cloud infrastructure providers, artificial intelligence providers, internet service providers or any other third-party services used by SAND;
(e) force majeure events or circumstances beyond SAND's reasonable control.
11.4 Users acknowledge that the accuracy of reports depends entirely upon the accuracy, completeness and timeliness of the information uploaded or synchronized with the Service.
11.5 The Service is provided solely as a technological tool for reporting, analytics and operational support and does not constitute accounting, tax, auditing, legal or financial advice. Users should consult qualified professionals before making accounting, tax or regulatory filings or business decisions based on the Service.
11.6 Users are solely responsible for reviewing and validating all reports before relying upon them for accounting, tax, financial, regulatory or business purposes.
11.7 SAND is not responsible for changes, interruptions or limitations imposed by third-party platforms including property management systems, booking channels, payment providers or artificial intelligence providers.
11.8 Certain features of the Service may rely on third-party artificial intelligence services. SAND makes no warranty regarding the completeness, accuracy or suitability of AI-generated outputs should be independently reviewed by Users before being relied upon.
11.9 Users acknowledge that reports generated by the Service are based on configurable business rules, calculations and parameters selected by the User or configured on the User's behalf. SAND does not guarantee that such reports comply with the accounting, tax or regulatory requirements applicable to any particular jurisdiction or business.
11.10 Nothing contained in the Service shall be construed as accounting, tax, legal, financial or investment advice.
12. Intellectual Property
12.1 The Service, including without limitation its software, source code, object code, algorithms, business logic, report structures, dashboards, calculations, methodologies, artificial intelligence models, prompts, APIs, databases, visualizations, trademarks, trade dress, documentation, know-how and all related intellectual property are owned exclusively by SAND or its licensors.
12.2 Except as expressly permitted, Users may not:
- reverse engineer
- decompile
- disassemble
- reproduce
- copy
- create derivative works
- scrape
- train competing AI models
- reproduce reports or calculations for the purpose of building competing software
- circumvent security
12.3 No provision of these Terms shall be interpreted as transferring ownership of any intellectual property rights to the User.
12.4 Users shall not attempt to discover the source code, algorithms, methodologies, calculation engines, business rules or underlying structure of the Service.
12.5 Users may not use the Service to develop or assist in developing competing software or services.
12.6 User Data remains the property of the User. The Service, software, algorithms, calculations, report templates, dashboards, AI models and all technology used to process such data remain the exclusive property of SAND.
12.7 Users may not use reports, calculations, algorithms or outputs generated by the Service to reproduce, benchmark, train, develop or improve competing software, artificial intelligence models or similar products.
13. Assignment
SAND may assign these Terms without restriction.
14. Export Compliance
You are responsible for complying with applicable export laws.
15. Trademarks
All SAND logos and marks are trademarks of SAND. You may only use them to identify yourself as a customer, without implying ownership or endorsement.
16. Force Majeure
SAND will not be liable for any delay, interruption, or failure in performance caused by events beyond its reasonable control, including but not limited to internet outages, natural disasters, government actions, war, labor disputes, or supplier failures. You acknowledge and agree that such events may result in temporary unavailability of the Service, and no reimbursement, credit, or refund will be provided for any resulting downtime or loss of access.
17. Termination & Service Changes
17.1 SAND reserves the right to suspend, restrict or terminate access to the Service, temporarily or permanently, immediately and without prior notice whenever reasonably necessary to protect the security, integrity, availability or proper operation of the Service.
17.2 Users are responsible for exporting their information before account termination.
17.3 Without limitation, SAND may suspend or terminate an account in the event of:
- non-payment;
- fraudulent activity;
- unauthorized access;
- attempted reverse engineering;
- excessive automated access;
- scraping;
- abuse of APIs;
- infringement of intellectual property;
- use of the Service to develop competing software;
- violation of these Terms;
- unlawful activity;
- attempts to interfere with the Service or other users.
17.4 SAND may also suspend the Service whenever required to:
- perform maintenance;
- install security updates;
- investigate incidents;
- comply with legal obligations;
- protect Users;
- respond to security threats.
17.5 SAND may modify, discontinue, replace or update any functionality, module, feature, integration or third-party service used by the Service at any time.
17.6 Certain new features, modules, artificial intelligence capabilities, integrations or premium functionality may require a separate subscription or additional fees.
17.7 Upon termination:
- access will be revoked;
- User Data may be permanently deleted after a reasonable period;
- SAND shall have no obligation to maintain backups unless required by law.
17.8 Termination shall not release the User from payment obligations accrued before termination.
17.9 SAND reserves the right to refuse service to any person or entity whose continued use of the Service could reasonably expose SAND, its Users or its infrastructure to legal, operational or security risks.
17.10 SAND may suspend or discontinue integrations with third-party platforms whenever such integrations become technically unavailable, commercially impractical or legally restricted, without this constituting a breach of these Terms.
18. Feedback
Any feedback, suggestions or feature requests submitted become freely usable by SAND without compensation.
19. Governing Law
These Terms shall be governed by the laws of Mexico City, Mexico without regard to the principles of conflicts of law. You hereby expressly agree to submit to the exclusive personal jurisdiction of the federal and state courts of Mexico City, Mexico for the purpose of resolving any dispute relating to your access to or use of the Service.
You further agree that, in the event SAND incurs any legal costs, expenses, fines, or damages as a result of your actions, misuse of the Service, or breach of these Terms, you will be solely responsible for reimbursing SAND for all such legal costs and related expenses, including reasonable attorney’s fees.
